The case for and against

Updated Oct 21, 2026

Bull case

EquipmentShare.com is well positioned by its vertically integrated model, proprietary T3 platform, and connected fleet, which are driving above-peer organic growth and strong customer retention in non-residential and industrial end markets. In 2Q’26, total revenue rose 26% to $1.449B, rental revenue climbed 39% to $908M, and Core EBITDA increased 41% to $471M with margin expansion to 33.9%, showing both scale and operating leverage. The company also ended the quarter with 430 locations, $9.9B of OEC, and net leverage improving to 3.0x, while the oversubscribed OWN Program and demand from mega projects provide durable growth funding and visibility.

Bear case

EquipmentShare.com is exposed to a cyclical construction market, so any slowdown in the U.S. pipeline for large projects could quickly pressure demand for rentals, services, and equipment sales. It also faces intense competition from United Rentals, Sunbelt Rentals, Herc Rentals, and a broad set of regional and technology-adjacent rivals, which can limit pricing power and make growth harder to sustain. Its reliance on debt and the off-balance-sheet OWN Program leaves it vulnerable when interest rates rise, while the dual-class share structure concentrates control with the co-founders and reduces shareholder influence over strategy.
