The case for and against

Updated Oct 21, 2026

Bull case

Ocugen is supported by improved liquidity and multiple funding levers, with the recent debt offering extending runway into 2028 and net proceeds of about $80M after retiring Avenue debt. It also has additional balance-sheet flexibility from outstanding Janus Henderson warrants that could add roughly $50M if exercised, plus a Priority Review Voucher for Stargardt that it expects to monetize. Fundamentally, the investment case is strengthened by its diversified pipeline in retinal, regenerative, and vaccine platforms, alongside ongoing partnership discussions that could provide non-dilutive funding.

Bear case

Ocugen is facing a more cautious fundamental outlook because the September 3, 2026 interim analysis of GARDian3 showed a negative direction of treatment effect in 26 of 63 enrolled subjects and raised the possibility of futility, even as the DMC asked for additional 8-month follow-up to resolve a baseline lesion-size imbalance. The company’s valuation remains highly dependent on unproven gene therapy assets, while regulatory timing may slip beyond 2028 and management has not yet disclosed its strategy, increasing clinical and execution uncertainty. With a challenging financing environment, net debt of $17.7M, and meaningful regulatory, commercial, manufacturing, and IP risks, the path to monetizing the pipeline looks increasingly fragile.
